Because there are so many people those at the very top are simply too special (especially in their own mind…). After a while the department heads start see themselves as almost god like and start to expect no questions. Ambitious people either start to say yes and or go to a smaller place where top managers are mere mortals and consequently other voices can be heard. As a result of this phenomenon the vast majority of middle managers are yes men. There is a reluctance to fire stagnant yes men - which also results in everyone leaving.
