The Board of Directors has a strong desire to switch over to a new technology, a SaaS Model, and move away from an antiquated desktop application used by over 1,000 merchants built up over the years from mail order management, in order for the company to succeed.

Unfortunately, by the time they are done, the technology will be outdated. They are trying to convert existing customers from the old desktop model to the SaaS multi-tenant model, but over the past years have been able to get none to jump, and are slowly losing them to competitors. They have less than a dozen new customers, after many years of development, on the SaaS model (which is bugging and over-complicated to use and non-intuitive), not enough to carry the company. The Upper Management is disconnected from the company technology, and middle management and resources are used as scapegoats. The internal battle between the business, sales and technology to switch over has created impenetrable silos. They continue to replace middle-tier management as scapegoats. They are only 2 software developers, that know their stuff, and the new software management in place is inexperienced, self-serving and political. I have heard that they need to raise money to stay afloat.
